Mergers and Acquisitions
Human Resources is almost always the single largest cost of doing
business, yet is often the most ignored aspect of any merger, acquisition, or
divestiture.
If the objective of the transaction is to produce a better
organization, the most important human resource decisions are whether the
cultures of the two organizations can be altered, and how the employees will
react to the change. Typically, the
acquiring organization does not spend enough time considering these issues.
We will assist management in determining how to best consolidate the two
organizations, communicate the changeover, and determine who should be
responsible for the various aspects of the transition.
We can also bring efficiencies to the
transaction, and help you avoid the consequences of premature announcements.
We will assist the acquiring organization and its legal counsel in
uncovering potential hidden liabilities by conducting a comprehensive review of
the organization’s benefits, policies and practices, labor contracts, and other
human resource components.
Please see our services offered under Human Resource Management, Labor
Relations, and Regulatory Compliance for more specifics.
